Internet Service Agreement and Terms of Service

This Internet Service Agreement and Terms of Service (“Agreement”) governs Internet access and related services (“Services”) provided by Byhalia.net, LLC (“Byhalia.net”) to the customer (“Customer”).

By establishing an account, accepting installation, paying for, or using the Services, Customer agrees to this Agreement and applicable Byhalia.net policies, including the Acceptable Use Policy, Open Internet Policy, and Customer Privacy & CPNI Policy.

1. Eligibility and Customer Information

Customer must be at least 18 years of age and legally authorized to enter into this Agreement.

Customer agrees to provide accurate account, service-location, contact, and billing information and to promptly notify Byhalia.net of material changes to that information.

The person establishing the account is responsible for the account and for persons using the Services through that account to the extent reasonably within the Customer’s control.

2. Service Availability

Byhalia.net provides fixed wireless broadband Internet service.

Service availability depends upon technical and environmental factors that may include location, terrain, vegetation, structures, distance, radio-frequency conditions, interference, tower capacity, network capacity, and the ability to establish and maintain a suitable wireless connection.

A site survey may be required before installation or an upgrade.

Byhalia.net may determine that Service or a particular service plan is unavailable at a location if reliable service cannot reasonably be provided.

3. Internet Service

Service plans provide Internet access at the speeds and commercial terms associated with the Customer’s selected plan.

Advertised speeds are provided on an “up to” basis and are not guaranteed at all times.

Actual performance may vary because of network conditions, wireless conditions, interference, congestion, weather, Customer equipment, Wi-Fi performance, Internet routing, third-party networks and services, maintenance, outages, and other circumstances.

Byhalia.net will use reasonable efforts to provide reliable Service but does not guarantee uninterrupted or error-free Internet access.

4. Service Plans and Pricing

Current service plans, advertised speeds, and standard pricing are available on the Byhalia.net website.

Byhalia.net does not impose monthly data limits on its standard Internet service plans.

Service plans and pricing are subject to availability and may change from time to time.

Byhalia.net may modify pricing, fees, or material commercial terms upon reasonable notice to affected Customers as required by applicable law.

Taxes, governmental charges, optional services, equipment charges, non-standard installation charges, or other applicable fees may be charged separately from the monthly service price.

5. Billing and Payment

Customer is responsible for paying all charges associated with the Customer’s account.

Invoices and recurring charges are due on or before the due date stated on the Customer’s invoice.

Where Customer authorizes recurring payment by credit card, debit card, bank account, or another payment method, Customer authorizes Byhalia.net and its payment processor to process applicable charges according to the Customer’s billing arrangement.

Customer is responsible for maintaining current and accurate payment information.

Customers with questions regarding charges should contact Byhalia.net. All charges are considered valid unless disputed within thirty (30) days of the billing date.

If payment is not received on or before the invoice due date, Byhalia.net may, at its discretion, assess a late fee of up to $5.00 per day for each day the account remains past due, to the extent permitted by applicable law. Late fees are not automatically assessed on every past-due account and may be applied when Byhalia.net determines appropriate based on the circumstances of the account.

Byhalia.net may suspend or terminate Service for nonpayment.

Delinquent accounts may be suspended or terminated at Byhalia.net’s discretion. A $40.00 reinstatement fee may be charged to restore Service following a suspension for nonpayment.

Customer is responsible for applicable returned-payment, insufficient-funds, chargeback, bank, collection, or similar costs resulting from Customer’s payment or payment method to the extent permitted by applicable law.

6. Past-Due Accounts

Suspension of Service does not cancel the Customer’s account, eliminate an outstanding balance, or relieve Customer of payment obligations.

Customer remains responsible for all charges incurred through the effective date of cancellation or termination.

Byhalia.net may require payment of all outstanding amounts, any applicable assessed late fees, and the $40.00 reinstatement fee before restoring suspended Service.

Byhalia.net reserves the right to pursue collection of unpaid balances as permitted by law.

7. Installation

Installation may require mounting wireless equipment, antennas, brackets, cabling, grounding equipment, power supplies, or other equipment at the Customer’s premises.

Standard installation is provided without an installation fee where included with the applicable service offering.

Installations requiring additional equipment, unusual cabling, specialized mounting hardware, tower or structure work, construction, trenching, or other non-standard work may result in additional charges. Byhalia.net will review applicable non-standard installation charges with the Customer before completing the additional work.

Customer must provide a suitable location, electrical power where required, and reasonable access necessary for installation and operation of the Service.

Customer is responsible for protecting and backing up Customer-owned computers, devices, software, files, and data before installation, troubleshooting, repair, or other work is performed.

8. Property Owner Authorization

If Customer does not own the premises where Service will be installed, Customer represents that Customer has obtained any permission reasonably necessary from the property owner or other authorized party for installation, maintenance, repair, and removal of Byhalia.net equipment.

Customer is responsible for obtaining landlord, property-owner, association, or other required approvals unless otherwise agreed in writing.

Customer shall indemnify and hold Byhalia.net harmless from claims of the property owner arising from Customer’s failure to obtain required authorization for the installation or operation of the Service.

9. Byhalia.net Equipment

Unless equipment is purchased by Customer or otherwise agreed in writing, equipment supplied by Byhalia.net remains the property of Byhalia.net.

Customer agrees to exercise reasonable care of Byhalia.net-owned equipment.

Customer may not intentionally damage, sell, transfer, open, modify, reprogram, relocate, disable, or tamper with Byhalia.net-owned equipment without authorization.

Byhalia.net may repair, replace, reconfigure, upgrade, or remove its equipment as reasonably necessary to provide or maintain Service.

Customer must provide reasonable access to Byhalia.net-owned equipment for authorized maintenance, repair, replacement, upgrade, or recovery.

10. Return of Equipment

Upon termination of Service, Customer must return or permit Byhalia.net to recover Byhalia.net-owned equipment as reasonably requested.

Unless otherwise agreed, Byhalia.net-owned equipment must be returned within thirty (30) days following termination of Service.

Equipment should be returned in reasonable condition, ordinary wear and tear excepted.

Customer may be charged the full reasonable replacement or purchase cost of Byhalia.net-owned equipment that is not returned, is lost, or is intentionally or negligently damaged.

11. Customer-Owned Equipment and Wi-Fi

Customer is responsible for Customer-owned routers, computers, televisions, phones, cameras, gaming systems, smart-home devices, and other equipment unless Byhalia.net has expressly agreed to provide or support the equipment.

Customer-owned equipment can affect Internet performance.

Wi-Fi speeds and coverage inside a home or business depend upon factors including router capabilities, device capabilities, building construction, interference, distance from the router, and the number of connected devices.

A Wi-Fi performance problem does not necessarily indicate a problem with the Byhalia.net Internet connection.

12. Acceptable Use

Customer agrees to use the Services only for lawful purposes and in accordance with Byhalia.net’s Acceptable Use Policy.

The Acceptable Use Policy includes rules concerning unlawful activity, network attacks, malware, spam, security threats, copyright infringement, network abuse, equipment tampering, unauthorized resale, and other prohibited activities.

A violation of the Acceptable Use Policy constitutes a violation of this Agreement.

13. Servers and Applications

Byhalia.net does not generally prohibit lawful servers, applications, devices, or Internet-connected services used for legitimate purposes.

Such use must comply with the applicable service plan, this Agreement, the Acceptable Use Policy, and applicable law.

Byhalia.net may take reasonable action concerning a server, application, device, port, protocol, or connection when necessary to address unlawful activity, network abuse, security threats, compromised equipment, or material interference with the network or other customers.

14. Internet Content, Downloads and Third-Party Services

Byhalia.net provides access to the Internet but does not create, control, inspect, approve, endorse, or guarantee the content, files, software, applications, products, services, websites, communications, or other materials available through the Internet.

Customer assumes responsibility and risk for Internet use and for any content, files, software, programs, applications, attachments, communications, or other materials accessed, viewed, transmitted, installed, uploaded, or downloaded by Customer or by any person or device using Customer’s Internet connection.

Byhalia.net is not responsible for damage, loss, expense, liability, or other consequences resulting from material downloaded, installed, received, accessed, or transmitted through the Internet by Customer or third parties. This includes, without limitation, viruses, malware, ransomware, spyware, malicious code, corrupted files, harmful applications, fraudulent content, offensive content, unlawful content, or software that damages, modifies, compromises, encrypts, deletes, or otherwise affects Customer’s equipment, software, files, accounts, or data.

Byhalia.net is not responsible for the availability, accuracy, legality, security, quality, performance, merchantability, usefulness, or suitability of third-party websites, content, applications, downloads, products, or services.

Customer is solely responsible for determining whether Internet content, software, files, applications, or downloads are safe, lawful, appropriate, accurate, and suitable before accessing, downloading, opening, installing, transmitting, or using them.

Customer is responsible for maintaining appropriate antivirus software, security software, backups, firewalls, device security, and other safeguards Customer considers appropriate.

Byhalia.net is not responsible for actions taken by third parties using the Internet, including hacking, phishing, fraud, identity theft, unauthorized access, security breaches, interception, eavesdropping, malware distribution, or attacks against Customer-owned equipment, except to the extent liability cannot lawfully be excluded.

15. Resale and Redistribution

Residential Service is intended primarily for use by the Customer’s household and personal guests.

Customer may not resell or commercially redistribute the Service to unrelated third parties for compensation unless authorized by Byhalia.net or provided under an appropriate service agreement.

Business, landlord, multi-tenant, public Wi-Fi, hotspot, or other redistribution arrangements may require prior approval or a service plan appropriate for that use.

16. Network Management and Security

Byhalia.net may use reasonable network-management and security practices to operate, protect, maintain, and improve its network.

Such practices may include actions reasonably necessary to address congestion, interference, equipment failures, malware, spam, denial-of-service attacks, compromised devices, security threats, unlawful activity, or other circumstances affecting network operation.

17. Customer Account Security

Customer is responsible for taking reasonable precautions to protect account credentials, passwords, Customer-owned networking equipment, Wi-Fi networks, computers, and connected devices.

Customer should promptly notify Byhalia.net of suspected unauthorized account access or compromised Byhalia.net equipment.

Byhalia.net may require reasonable verification of Customer’s identity before disclosing protected account information or making significant account changes.

18. Privacy and Customer Information

Byhalia.net collects, uses, maintains, and discloses customer information as reasonably necessary to provide and administer Service, process billing, provide support, maintain and secure the network, comply with legal requirements, and conduct legitimate business operations.

Payment information may be processed by third-party payment processors and financial institutions.

19. Service Interruptions and Maintenance

Internet Service may occasionally be interrupted because of maintenance, equipment failures, power failures, wireless interference, weather, upstream provider outages, fiber or cable damage, cyberattacks, emergencies, or other circumstances.

Byhalia.net may perform scheduled or emergency maintenance when reasonably necessary.

Byhalia.net will use reasonable efforts to restore affected Service but does not guarantee a specific restoration time unless expressly agreed in writing.

20. Force Majeure

Neither party is liable for failure of performance caused by circumstances beyond that party’s reasonable control, including acts of God, fire, explosion, vandalism, cable or fiber cuts, severe or adverse weather, governmental action, power failure, labor difficulties, supplier or upstream provider failures, cyberattacks, natural disasters, or other events beyond reasonable control.

Customer’s obligations to pay for Services actually received and other amounts already due are not relieved by this provision.

21. Assumption of Risk

Customer recognizes that use of the Internet, network, Services, Customer-owned equipment, and connected devices involves inherent risks.

Customer assumes the risks associated with Internet use, including risks arising from third-party content, downloads, software, websites, communications, unauthorized access, malware, security threats, and other Internet-based activities, except to the extent applicable law provides otherwise.

22. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

BYHALIA.NET DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, OR AVAILABLE AT ALL TIMES.

BYHALIA.NET DOES NOT CONTROL MATERIALS, INFORMATION, PRODUCTS, SERVICES, FILES, SOFTWARE, OR CONTENT AVAILABLE THROUGH THE INTERNET AND ACCEPTS NO RESPONSIBILITY FOR SUCH MATERIALS.

CUSTOMER ASSUMES RESPONSIBILITY AND RISK FOR USE OF THE SERVICES AND THE INTERNET.

Byhalia.net disclaims warranties not expressly provided in this Agreement to the maximum extent such warranties may lawfully be disclaimed.

Nothing in this Agreement excludes any warranty or right that cannot lawfully be excluded.

23. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BYHALIA.NET WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST DATA, LOSS OF USE, LOSS OF BUSINESS OPPORTUNITY, OR DAMAGES RESULTING FROM INTERRUPTION OF SERVICE.

BYHALIA.NET WILL NOT BE LIABLE, TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOR DAMAGES OR LOSSES RESULTING FROM INTERNET CONTENT, THIRD-PARTY SERVICES, CUSTOMER OR THIRD-PARTY DOWNLOADS, MALWARE, VIRUSES, SECURITY BREACHES, UNAUTHORIZED ACCESS, EAVESDROPPING, DENIAL-OF-SERVICE ATTACKS, INTERCEPTION OF INTERNET TRAFFIC, CUSTOMER-OWNED EQUIPMENT, OR THE ACTS OR OMISSIONS OF THIRD PARTIES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BYHALIA.NET’S AGGREGATE LIABILITY TO CUSTOMER ARISING FROM OR RELATED TO THE SERVICES OR THIS AGREEMENT, FOR ANY AND ALL CAUSES OF ACTION AND CLAIMS, INCLUDING BREACH OF CONTRACT, BREACH OF WARRANTY, NEGLIGENCE, STRICT LIABILITY, MISREPRESENTATION, OR OTHER TORTS, SHALL NOT EXCEED THE AMOUNT PAID BY CUSTOMER TO BYHALIA.NET FOR THE AFFECTED SERVICE DURING THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE MOST RECENT CLAIM.

IN NO EVENT SHALL BYHALIA.NET BE LIABLE FOR SPECIAL, PUNITIVE, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING WITHOUT LIMITATION LOST REVENUE, PROFITS, OR OTHER BENEFIT, WHETHER BY TORT, CONTRACT, OR OTHERWISE.

These limitations do not apply to liability that cannot lawfully be limited or excluded.

24. Hold Harmless and Indemnity

Customer agrees to indemnify, defend and hold harmless Byhalia.net and its partners, officers, directors, employees, agents and other representatives of Byhalia.net from all losses or damages arising from Customer’s breach of this Agreement, violation of any third party intellectual property right, all claims of any kind by Customer’s end users, or any act or omission of Customer in connection with any Services provided hereunder. Byhalia.net agrees to indemnify, defend and hold harmless Customer from all losses or damages arising from or related to personal injury or property damages caused by the negligence or willful misconduct of Byhalia.net.

25. Suspension and Termination by Byhalia.net

Byhalia.net may suspend or terminate Service for reasons including:

  • Failure to pay amounts when due.
  • Material or repeated violation of this Agreement or the Acceptable Use Policy.
  • Fraud or material misrepresentation.
  • Unlawful use of the Services.
  • Threats to network security or integrity.
  • Harmful interference with the network or other customers.
  • Unauthorized resale of Service.
  • Tampering with Byhalia.net-owned equipment.
  • Circumstances making continued Service technically impractical or unavailable.

When circumstances reasonably permit, Byhalia.net may provide notice and an opportunity to correct a problem before termination.

Byhalia.net may take immediate action when reasonably necessary to protect the network, customers, equipment, or others from an active security threat, unlawful activity, or serious disruption.

26. Cancellation by Customer

Customer may cancel Service for any reason by providing Byhalia.net with at least thirty (30) days’ advance notice of cancellation.

Customer is responsible for all outstanding invoices, charges, fees, and other amounts due on the account through the effective cancellation date.

Cancellation does not eliminate or reduce any outstanding balance.

Byhalia.net does not provide partial-month, prorated, or partial-period refunds or credits when Customer cancels Service. Amounts already billed or paid for a billing period are non-refundable except when otherwise required by applicable law or expressly authorized by Byhalia.net.

Customer remains responsible for returning Byhalia.net-owned equipment as required by this Agreement.

27. Moving Service

Service availability at one location does not guarantee availability at another location.

Customers moving to a new location should contact Byhalia.net to determine service availability.

Removal, relocation, or reinstallation of equipment may involve additional charges, which will be disclosed before the work is performed.

28. Changes to Service or Agreement

Byhalia.net may modify its Services, service plans, policies, pricing, fees, or this Agreement from time to time.

Material changes will be communicated or posted as required by applicable law.

Continued use of the Services after the effective date of a properly disclosed change constitutes acceptance of the revised terms to the extent permitted by applicable law.

If Customer does not agree with a material change, Customer may discontinue Service subject to applicable cancellation and account obligations.

29. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict-of-law principles, except where applicable federal law controls.

30. Severability

If any provision of this Agreement is determined to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

An invalid or unenforceable provision will be interpreted or limited as necessary to make it enforceable to the greatest extent permitted by applicable law.

31. No Waiver

Failure by Byhalia.net to enforce a provision of this Agreement in a particular circumstance does not waive Byhalia.net’s right to enforce that provision or another provision in the future.

32. Survival

Provisions that by their nature should continue after termination, including payment obligations, equipment-return obligations, disclaimers, limitations of liability, indemnification and hold-harmless obligations, governing law, and other accrued rights and obligations, survive termination of this Agreement.

33. Entire Agreement

This Agreement, together with the applicable service plan, Acceptable Use Policy, Open Internet Policy, Customer Privacy & CPNI Policy, Broadband Consumer Label, and any other written terms expressly applicable to Customer’s Service, constitutes the agreement governing Customer’s use of Byhalia.net Services.

If terms conflict, applicable law controls, followed by any specifically negotiated written service agreement, and then these generally applicable policies and terms as appropriate.
